Documents required for setting up Foreign-invested enterprises:

A " registration application for creating foreign-invested enterprises ", "business establishment registration application form", "Chinese investors List", "legal representative registration form", "board members, managers proof of employment", "corporate domicile proof" etc.);

2, the contract and articles of association (the establishment of wholly foreign-owned enterprise, just submit articles);

3, "foreign investment enterprise approval certificate" by the approval of the authority;

4, each investor's legal qualifications;

5, each investor credit certificate;

6, "the name (change) pre-approved application" and "Enterprise name pre-approval notice";

7, "designated (entrust) book";

8, "corporate secretary (contact) Registration Form";

9, operates in the pre-approval projects, shall be submitted to the relevant departments for approval; involve the post-approval,it shall be submitted the "undertaking."

In addition to the above necessary documents, it should submit the printed directory investors and board members, managing directory of each.

2, "designated (entrust) book";

3, the Board of Directors;

4, "business license" copy;

5, change the following matters, you also need to submit the following documents and certificates;

Change the name:

(1) the "Name (Change) pre-approved application" and "pre-approved corporate name change notice" (handle name change please refer to pre-register name on How to apply "the relevant documents);

(2) approval from the authority ,and "foreign investment enterprise approval certificate" copy one;

(3) repairment recommendations on contracts, and regulations.

Increase the total investment, registered capital:

(1) contracts, and regulations amendment agreement;

(2) verification report;

(3) approval document from the authority and "foreign investment enterprise approval certificate" copy.

Application name pre-approval shall submit the below documents:

Reduction of registered capital:

(A) contracts, and regulations amendment agreement;

(2) approval document from the authority and "foreign investment enterprise approval certificate" copy;

(3) three times reduction announcement document(after 90 days of the first announcement, can the capital reduction application be accepted);

(4) Capital reduction description signed by the legal representative (including capital reduction reasons, debt settlement or debt bond, after the capital reduction will not infringe on the interests of creditors of the undertaking);

(5) CPA audit report or audit firms

Change Enterprise Category:

(1) contracts, and regulations amendment agreement;

(2) approval document from authority and "foreign investment enterprise approval certificate" copy one;

Change of shareholders:

(1) an equity transfer agreement;

(2) the transferee's legal qualifications and credit certificate;

(3) contracts, and regulations amendment agreement;

(4) approval document from authority and "foreign investment enterprise approval certificate" copy one.

Change the names of the shareholders:

(1) approval from authority and "foreign investment enterprise approval certificate" copy one;

(2) contracts, and regulations amendment agreement;

(3) certificate for the Name of shareholder or name change;

(4) shareholders' qualifications certificate after the change.

Change operating period:

(L) contracts, and regulations amendment agreement;

(2) approval by authority and "foreign investment enterprise approval certificate" copy one.

Change the business scope:

(A) contracts, and regulations amendment agreement;

(2) approval by authority and "foreign investment enterprise approval certificate" copy one;

(3) new business projects involving pre-approval, the reference documents must be submitted to the authority for approval; the post-approval one shall submit the "undertaking"

Additional branches in other towns applications (office):

Stamped with the official seal of the enterprise license copy.

Cancellation branch (office), need to indicate on the business licese of:

(1) branch (office) deregistration certificate issued by the registration authority;

(2) "business license", with both original and copy 

 Change the business scope:

1, "Application for cancellation of registration of foreign-invested enterprises";

2, the decision by Board of Directors;

3, the liquidation report or debts liquidation documents by the liquidation organization;

4, the examination and approval documents;

5, CIQ certificate issued by tax authority or customs;

6, The cancellation notice samples in the provincial public newspapers with 3 times(only after 90 days of the first announcement,will the application be accepted)

7, "designated (entrust) book";

8, "business license" with original and copy;

9, the official seal;

Foreign-invested enterprises shall submit the below documents for registration in record:

1, "business registration"

2, "designated (entrust) book";

3, depending on the record matters, but also need to submit the following documents and certificates;

Amendment of the constitution:

(1) the amended contract, charter or contract amendment of the Constitution (WFOE Simply submits articles);

(2) approval from authority;

(3) Decision of Board of Directors;

Changes in Managing Directors:

(1) Complete the "enterprise registration application" in the "board members, managers worked prove" table;

(2) The Board resolutions (changes in the directors will not submit to the board)

Handle non-monetary contribution of property transfers:

(1) special audit report issued by Public Accountants;

(2) "business license", with original and copy

Delete the scope of business applications on note content:

(L) For special approval document or copy of the certificate;

(2) "enterprise legal person business license", with original and copy

Change of contribution:

(1) Decision of the Board of Directors

(2) approval file from authority;

(3) contracts, and regulations amendment agreement;

(4) "enterprise legal person business license" copy stamped by the corporate seal (involving changes in the business license shall submit both the original and copy of the business license);

Internal equity transfer changes in equity ratio:

(1) an equity transfer agreement;

(2) the amended contract, charter or contract ,amendment to the Constitution (WFOE Simply submit articles);

(3) "enterprise legal person business license" copy stamped by the corporate seal

(4) approval from authority and "foreign investment enterprise approval certificate" copy;

For those already established a branch (work) organizations,it is required to indicate on the business license of:

(1) "business license"original and copy;

(2) "business license” stamped by the corporate seal of the branch (office)

Pledge:

(1) Examination and approval authority files;

(2) The Board or investors agreement on share pledge resolution;

(3) The pledge contract signed by the pledgor and the pledgee ;

(4) certificate of capital contributions issued by the the enterprises investing pledgor;

(5) verification report;

(6) "business license,"stamped by the corporate seal;

Lifting shares pledge:

(A) examination and approval authority files;

(2) The pledgee agreement signed by the pledgor and the pledgee for the lifting the pledge;

(3) "business license," copy stamped by the corporate seal;

Foreign-invested enterprises as shareholders or promoters should submit the documents, certificates:

1 "foreign-invested enterprises domestic investment application";

2, the Board’s resolution ;

3, "foreign investment enterprise approval certificate" and the enterprise "business license" copy stamped by the corporate seal;

4,If the registered capital has been paid up for the verification report (such as the license has been stated registered capital is paid) then it can not be submitted;

5, the accounting firm's audit reports on the corporate profiting (attached to the balance sheet, the report should clearly indicate the profits and losses since the founding of the corporate)
