Q1.Can an additional Chinese name be registered in Hong Kong for my non-Hong Kong company if it has only registered an English name in the place of incorporation?

Answer:Yes, you may provide a certified translation in Chinese of the relevant section of the certificate of incorporation (or its equivalent) which states the name of the company, the nature of the certificate (e.g. certificate of incorporation, extract of Trade Register, business licence) and the date of issue of the certificate. The translation should be certified pursuant to paragraphs 6 or 7 of the Companies (Forms) Regulations. Please refer to Companies Registry External Circular No. 2/2007 and No. 3/2007 for details on certification requirement ('Publications and Press Release' – 'Circulars/Guidelines' – 'External Circulars' section of this website).

The above arrangement also applies when a non-Hong Kong company which has only registered a Chinese name in its place of incorporation intends to register an English name in Hong Kong.

Q2.Can a Chinese name be added after registration if my non-Hong Kong company has only registered an English name in Hong Kong at the time of registration?

Answer:Yes, you may file a Form N10 together with the following documents and fee (HK$1,425):

1.a certified translation in Chinese of the relevant section of the certificate of incorporation (or its equivalent) which states the name of the company, the nature of the certificate (e.g. certificate of incorporation, extract of Trade Register, business licence) and the date of issue of the certificate. The translation should be certified pursuant to paragraphs 6 or 7 of the Companies (Forms) Regulations. Please refer to Companies Registry External Circular No. 2/2007 and No. 3/2007 for details on certification requirement ('Publications and Press Release' – 'Circulars/Guidelines' – 'External Circulars' section of this website); and

2.a special resolution authorising the adoption of a Chinese name by your company.

A Certificate of Registration of Change of Corporate Name of non-Hong Kong company will be issued to you after the documents have been registered.

The above arrangement also applies to a non-Hong Kong company which intends to add an English name after registration.

Q3.Can my non-Hong Kong company change the English name or Chinese name that is registered in Hong Kong only?

Answer:Yes. Your company should pass a special resolution on change of name and, within one month after the change, file with this Registry a Form N10 together with the special resolution stating the effective date of the new name and fee (HK$1,425). A Certificate of Registration of Change of Corporate Name of non-Hong Kong company will be issued to you after the documents have been registered.

Q4.Can the name of my non-Hong Kong company be the same as the name of other registered company?

Answer:Section 337B of the Companies Ordinance contains regulations on the use of corporate names by non-Hong Kong companies. If the Registrar of Companies is satisfied that the corporate name is "the same as" or is "too like" a name appearing in the Registrar's index of company names, or gives so misleading an indication of the nature of its activities in Hong Kong as to be likely to cause harm to the public, the Registrar may, within six months of the date on which the company is registered or on which its corporate name has changed, serve a notice to that effect on the company.

The non-Hong Kong company on which such notice has been served must not at any time after the expiration of two months from the service of that notice carry on business in Hong Kong under its corporate name. The company may either cause its corporate name to be changed in the place of incorporation or specify a name approved by the Registrar other than its corporate name under which it proposes to carry on business in Hong Kong.
